By downloading, accessing or using the SalesMagna SFA mobile application (“App”), you agree to comply with and be bound by these terms and conditions (“Terms and Conditions”). If you do not agree to these Terms and Conditions, you should not download, access or use the App.

  1. LICENSE GRANT AND RESTRICTIONS:

1.1 License Grant. Subject to these Terms and Conditions, SalesMagna hereby grants you a non-exclusive, non-transferable, revocable license to use the App for your internal business purposes.


1.2 Restrictions. You may not copy, modify, distribute, sell, or transfer the App or any portion thereof without SalesMagna’s prior written consent. You may not reverse engineer, disassemble, decompile or otherwise attempt to derive the source code or underlying ideas or algorithms of the App, except to the extent applicable laws specifically prohibit such restriction.


  1. USE OF THE APP:

2.1 Acceptable Use. You agree to use the App only for lawful purposes and in accordance with these Terms and Conditions. You will not use the App:


(a) In any way that violates any applicable federal, state, local, or international law or regulation;

(b) For the purpose of exploiting, harming or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise;

(c) To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation;

(d) To impersonate or attempt to impersonate SalesMagna, a Sales Magna employee, another user or any other person or entity;

(e) To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the App, or which, as determined by SalesMagna, may harm SalesMagna or users of the App or expose them to liability.


2.2 Privacy Policy. Your use of the App is subject to Sales Magna’s Privacy Policy, which is incorporated by reference into these Terms and Conditions. By using the App, you consent to Sales Magna’s collection and use of your personal information in accordance with the Privacy Policy.


  1. TERM AND TERMINATION:

3.1 Term. These Terms and Conditions shall remain in effect until terminated by either party.

3.2 Termination. SalesMagna may terminate these Terms and Conditions and your access to the App at any time, with or without cause or notice, which may result in the forfeiture and destruction of all information associated with your account.


  1. DISCLAIMER OF WARRANTIES:

THE APP IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. SALES MAGNA DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED OR ERROR-FREE. SALES MAGNA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

  1. INDEMNIFICATION:

You agree to indemnify, defend, and hold harmless SalesMagna and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, losses, damages, liabilities, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the App, your violation of these Terms and Conditions, or your violation of any third-party rights.

These Terms and Conditions and your use of the App shall be governed by and construed in accordance with the laws of the state of DELHI
